1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Customer", "you"), and Verventus Healthtech Solutions Private Limited ("Medblaze", "we", "us", or "our"), concerning your access to and use of the Medblaze Infini healthcare quality platform as well as any other media form, media channel, or website related, linked, or otherwise connected thereto (collectively, the "Platform").

By accessing the Platform, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Platform and you must discontinue use immediately.

2. Platform License and Access

Medblaze grants you a non-exclusive, non-transferable, revocable license to access and use the Platform strictly in accordance with your subscription agreement and these Terms. The Platform is provided on a business-to-business (B2B) basis for the purpose of healthcare quality management, patient experience tracking, compliance, and related operational tasks.

You agree not to:

• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform without express written permission by us.
• Use the Platform for any illegal or unauthorized purpose, or in violation of any laws in your jurisdiction (including but not limited to healthcare data protection laws).
• Transmit any worms, viruses, or any code of a destructive nature.

3. Customer Data and Compliance

You retain all rights to the data you upload or enter into the Platform ("Customer Data"). Medblaze acts as a Data Processor and processes Customer Data solely to provide the services to you. You represent and warrant that you are the Data Controller for all Customer Data and have obtained all necessary patient consents and authorizations required by applicable healthcare laws (e.g., HIPAA, DPDP Act) before uploading such data to the Platform.

4. Service Level Agreement (SLA)

Medblaze is committed to providing a reliable platform, targeting 99.99% uptime for our cloud-hosted instances. We provide zero-downtime updates and maintenance. However, we do not guarantee that the Platform will be entirely free of interruptions or errors. In the event of an outage, our support team will act in accordance with the SLA defined in your specific Master Services Agreement (MSA).

5. Intellectual Property Rights

Unless otherwise indicated, the Platform is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by Verventus Healthtech Solutions Private Limited, and are protected by copyright and trademark laws.

Our proprietary Medblaze AI modules and the underlying algorithms, including improvements derived from aggregated and anonymized telemetry, remain the exclusive property of Medblaze.

6. Limitation of Liability

In no event will Medblaze or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Platform, even if we have been advised of the possibility of such damages.

7. Governing Law and Jurisdiction

These Terms shall be governed by and defined following the laws of India. Verventus Healthtech Solutions Private Limited and yourself irrevocably consent that the courts of Hyderabad, Telangana, India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
